Terms of Service — Sea Breeze Sites

These Terms of Service (“Terms”) govern your access to and use of seabreezesites.com and the services provided by Sea Breeze Sites (“Sea Breeze Sites,” “we,” “us,” or “our”). By accessing our website, signing up for services, paying an invoice, or otherwise engaging us, you agree to these Terms.

If you are entering into these Terms on behalf of a company, you represent you have authority to bind that company (“Client,” “you,” or “your”).

1) Eligibility and Scope

1.1 Business-to-business only

Our Services are offered only to businesses (B2B) operating in the United States. You are not permitted to use the Services for personal/consumer purposes.

1.2 Age requirement (18+)

You must be 18 years or older to use or purchase the Services.


2) Services

Sea Breeze Sites provides services including, but not limited to:

Website design and website builds

Website hosting and maintenance

AI-powered website automation (workflows, integrations)

Chatbots and AI assistants

CRM setup and marketing automation

Specific deliverables, timelines, pricing, and scope will be defined in a proposal, statement of work (“SOW”), invoice, or written agreement. If there is a conflict between these Terms and an SOW, the SOW controls for that project only.


3) Accounts, Access, and Client Responsibilities

3.1 Accurate information and cooperation

You agree to provide accurate information and timely cooperation (content, approvals, access credentials, feedback) needed to perform the Services.

3.2 Credentials and access

If you provide credentials, API keys, admin access, or other access, you represent you are authorized to do so. You are responsible for safeguarding credentials and for actions taken under your accounts.

3.3 Your content and data

You are responsible for:

The legality of any content/data you provide (including CRM lists and customer data)

Ensuring you have all necessary rights, licenses, and consents to share that content/data with us

The instructions you give us regarding automations, campaigns, and integrations


4) Acceptable Use

You agree not to use the Services to:

Break any law or regulation

Send spam, malware, or engage in phishing, hacking, or unauthorized access

Infringe intellectual property or privacy rights

Collect data without permission (scraping) or misuse tracking/remarketing tools

Use automations to send unsolicited messages or violate messaging/email rules

We may suspend or terminate access for violations (see Section 11).


5) AI Tools, Chatbots, and Outputs

5.1 AI may be inaccurate

AI features (including chatbots/assistants and AI-generated content) may produce inaccurate, incomplete, or inappropriate outputs. You are responsible for reviewing and approving outputs before publishing, sending, or relying on them.

5.2 No automated decision-making

We do not provide automated decision-making that produces legal or similarly significant effects about individuals.

5.3 Third-party AI providers

Some features may use third-party providers (e.g., OpenAI) to process inputs and generate outputs. Your use of AI features may be subject to third-party terms and policies in addition to these Terms.

5.4 Training/fine-tuning

Sea Breeze Sites does not use your personal information to train or fine-tune our own AI models. Any third-party provider practices are governed by their policies and your configuration choices.


6) Fees, Billing, Trials, and No Refunds

6.1 Pricing structure

Fees may include:

Setup fee (one-time) for initial build/setup

Monthly subscriptions (and/or retainers) for ongoing hosting, maintenance, and automation services

Hourly work at $50/hour unless otherwise negotiated (e.g., edits, additional work, out-of-scope requests)

6.2 Billing timing

Unless otherwise stated in writing:

Setup fees and hourly work are billed after work is completed (based on the agreed scope)

Monthly subscriptions are billed on a recurring monthly basis after they begin

6.3 Free trials

If we offer a free trial, the trial terms (duration and what’s included) will be described in writing. After the trial, continued use means you agree to the paid plan.

6.4 Subscriptions can be cancelled anytime. No refunds for previous payments.

All sales are final. No refunds once you agree to pay for a service, including setup fees, hourly work, retainers, and subscription charges.
You may cancel subscriptions at any time. Cancellation stops future recurring charges after the end of the current billing period (unless otherwise agreed in writing).


7) Late Payments

If payment is not received, we may suspend Services after 60 days of nonpayment. During suspension, your website, automations, hosting, or related functionality may be limited or disabled until payment is made.

We may also suspend immediately in cases of suspected fraud, abuse, security risk, or unlawful activity.


8) Intellectual Property

8.1 Your content

You retain ownership of content, data, trademarks, and materials you provide (“Client Content”). You grant us a limited, worldwide license to use Client Content only as needed to perform the Services.

8.2 Our materials and templates

We retain ownership of our tools, templates, methods, workflows, code libraries, designs, and know-how developed before or outside your project (“Sea Breeze Materials”). We grant you a non-exclusive license to use Sea Breeze Materials solely as incorporated into the deliverables for your business purposes.

8.3 Deliverables and AI outputs

Unless otherwise stated in an SOW:
Upon full payment, you own the final deliverables and AI outputs created specifically for your project, to the extent they are protectable and transferable.
We retain the right to reuse general skills, ideas, and non-client-specific know-how.

8.4 Third-party materials

Some deliverables may include third-party components (plugins, fonts, stock media, APIs) governed by separate licenses. You are responsible for complying with those licenses and any associated fees.


9) Portfolio and Publicity

Unless you request otherwise in writing, you grant Sea Breeze Sites permission to display your business name, logo, and non-confidential project screenshots or descriptions in our portfolio and marketing materials. If you opt out in writing, we will honor that request for future use.


10) Disclaimers

10.1 Reasonable efforts; no guarantees

We will use reasonable efforts to provide the Services. However, we do not guarantee specific outcomes (including leads, revenue, SEO rankings, deliverability, uptime, conversion rates, or marketing performance).

10.2 Services provided “as is”

To the maximum extent permitted by law, the Services (including AI outputs) are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express, implied, or statutory.


11) Suspension and Termination

11.1 Termination by you

You may terminate/cancel Services at any time by written notice to [email protected]. Subscription cancellation is effective at the end of the then-current billing period unless otherwise agreed.

11.2 Termination by us

We may terminate or suspend Services:

Immediately for breach of these Terms, unlawful activity, or security risk

For nonpayment after the 60-day period described in Section 7

If continuing would create legal or operational risk

11.3 Effect of termination

Upon termination:

Your licenses to use Sea Breeze Materials continue only as embedded in paid deliverables

We may disable hosting/automation access if those are part of the subscription

Outstanding fees remain due and payable

11.4 Data deletion timeline

After termination or account deletion, we will delete or de-identify Client Content and personal data within 30 days, except where retention is required for legal, tax, security, or backup purposes. Backup copies may persist briefly until overwritten.


12) Limitation of Liability

To the maximum extent permitted by law:

Sea Breeze Sites will not be liable for indirect, incidental, special, consequential, or punitive damages.

Our total liability arising out of or related to the Services will not exceed the total fees paid by you to Sea Breeze Sites in the three (3) months immediately preceding the event giving rise to the claim.


13) Indemnification

You agree to defend, indemnify, and hold harmless Sea Breeze Sites (and its owner, contractors, and agents) from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from:

Your Client Content, data, or instructions

Your use of the deliverables, automations, campaigns, or AI outputs

Your violation of these Terms or applicable law

Any allegation that your content/data infringes or misappropriates third-party rights


14) SMS/MMS Messaging and Calling Terms

This section applies when you provide a phone number to Sea Breeze Sites, interact with our forms/widgets/chat, or otherwise consent to receive calls or text messages from us.

14.1 Description of SMS/Call use cases

We may send SMS/MMS messages and/or place calls for the following purposes:

Responding to your inquiry or request for information

Scheduling, confirming, rescheduling, or reminding you about appointments

Sending onboarding instructions or service-related notices

Follow-ups related to requested services, proposals, or active projects

Customer support communications

Message frequency varies based on your interaction and the Services requested.

14.2 Opt-out instructions (STOP)

You can opt out of SMS/MMS at any time by replying STOP to any message. After you opt out, you may receive a final confirmation message, and then no further messages will be sent unless you re-subscribe.

Wireless carriers are not liable for delayed or undelivered messages.

15) Compliance Responsibilities (Email/SMS and Marketing)

If we assist with email or SMS marketing, you are solely responsible for ensuring compliance with applicable laws and rules, including (as applicable) CAN-SPAM, TCPA, and any carrier/industry requirements. You represent you have obtained all required consents and permissions for your contact lists and messaging.


16) Changes to Services and Terms

We may update or modify the Services and these Terms from time to time. Updated Terms will be posted on our website with a new effective date. Material changes will apply prospectively.


17) Governing Law; Dispute Resolution

17.1 Governing law

These Terms are governed by the laws of the State of South Carolina, without regard to conflict-of-law rules.

17.2 Informal negotiation first

Before filing a claim, the parties agree to attempt to resolve disputes through good-faith informal negotiation.

17.3 Arbitration; class action waiver

Any dispute arising out of or related to these Terms or the Services will be resolved by binding arbitration, and not in court, except where prohibited by law.
You and Sea Breeze Sites agree that disputes will be brought only in an individual capacity and not as a class, collective, or representative action.
Arbitration location: South Carolina (unless otherwise required by law or agreed in writing).
Arbitrator authority: The arbitrator may award relief only to the extent necessary to resolve the individual claim.


18) Miscellaneous

Entire agreement: These Terms plus any SOW/invoice constitute the entire agreement regarding the Services.
Severability: If any provision is unenforceable, the rest remains in effect.
Assignment: You may not assign these Terms without our written consent. We may assign in connection with a business transfer.
Waiver: Failure to enforce a provision is not a waiver.
